PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

These Terms of Service ("Terms") govern your access to and use of Sharemeister.ai, our website, software, AI tools, SaaS products, development services, digital utility services, platform features, APIs, dashboards, integrations, content, communications, and related services collectively referred to as the "Services."

These Terms form a legal agreement between you and Sharemeister, Inc. ("Sharemeister," "we," "us," or "our"). "You" or "your" means the individual using the Services, or the business or organization on whose behalf the Services are used.

By accessing or using the Services, creating an account, purchasing a subscription, signing an agreement, clicking "I agree," or otherwise using Sharemeister.ai, you agree to these Terms. If you do not agree, you may not use the Services.

These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, any applicable Development Agreement, Service Agreement, Order Form, Statement of Work, or other written agreement between you and Sharemeister.


1. Who We Are

Sharemeister.ai helps organizations take ownership of their digital world.

We provide AI-enabled software utilities, digital infrastructure, SaaS tools, development support, automation workflows, data systems, and community-focused application services designed to help businesses, founders, organizations, and teams simplify technology, reduce unnecessary software dependency, and build scalable digital systems.

Our Services may include, without limitation:

  • AI audit and gap analysis;
  • SaaS and software utility tools;
  • digital application design and development;
  • website, platform, and community infrastructure;
  • dashboards, workflows, automations, and integrations;
  • content, communication, commerce, and community tools;
  • AI-assisted analysis, recommendations, and outputs;
  • technical consulting, deployment, support, and maintenance;
  • third-party software and AI provider integrations.

2. Eligibility and Authority

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services.

If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and the entity you represent.

You may not use the Services if you are prohibited from doing so under applicable law.


3. Accounts

To access certain Services, you may be required to create an account.

You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials, passwords, API keys, authentication tokens, and account access. You are responsible for all activity that occurs under your account, whether authorized by you or not.

You agree to notify us promptly at hello@sharemeister.ai if you become aware of unauthorized access to your account or any security issue involving the Services.

We may suspend or terminate your account if we believe your account has been compromised, used unlawfully, used in violation of these Terms, or used in a way that creates risk to Sharemeister, our systems, our users, or third parties.


4. Business and Organization Accounts

If you use the Services with an email address owned by your employer or another organization, or if your account is created, paid for, or managed by an organization, that organization may have administrative rights over your account.

These rights may include the ability to manage users, access billing information, control permissions, review usage, access content associated with the organization's workspace, and manage data connected to the organization's account.

You are responsible for ensuring that your use of the Services complies with your organization's policies and any applicable agreements between you and your organization.


5. Services

Sharemeister may provide free, paid, subscription-based, usage-based, project-based, or custom Services.

The Services may include software, AI-enabled tools, development support, digital workflows, APIs, dashboards, client portals, design systems, technical architecture, integrations, hosting support, automation, data processing, and related professional services.

Some Services may be governed by additional written agreements, including a Statement of Work, Development Agreement, Service Agreement, Order Form, Subscription Agreement, or Maintenance Agreement. If a separate written agreement conflicts with these Terms, the separate written agreement will control only for the specific Services covered by that agreement.

If Sharemeister provides consulting, development, implementation, or technology management services, those services may also be governed by a proposal, invoice, Statement of Work, or Service, Development & Technology Management Addendum.

We may update, modify, improve, suspend, replace, or discontinue any part of the Services at any time. Where practical, we will try to provide reasonable notice of material changes that negatively affect paid Services, but we may make immediate changes when necessary for security, legal, operational, technical, or business reasons.


6. AI Features and Outputs

Some Services may use artificial intelligence, machine learning models, automation tools, agents, third-party APIs, or AI service providers.

You may submit prompts, data, documents, instructions, messages, code, media, files, or other materials to the Services ("Inputs"). The Services may generate responses, recommendations, summaries, code, text, designs, workflows, analyses, or other results ("Outputs"). Inputs and Outputs are collectively referred to as "Materials."

You understand and agree that:

  • AI Outputs may be incomplete, inaccurate, outdated, offensive, misleading, or inappropriate;
  • AI Outputs may not be unique and may be similar to outputs generated for other users;
  • AI tools may produce errors even when the output appears confident or detailed;
  • you are responsible for reviewing, validating, testing, and approving Outputs before relying on them;
  • Outputs should not be treated as professional legal, financial, tax, medical, security, engineering, or compliance advice unless separately reviewed by qualified professionals;
  • Sharemeister does not guarantee that any AI Output will be correct, complete, secure, compliant, or suitable for your intended use.

You are solely responsible for decisions made, actions taken, products launched, code deployed, content published, or business operations conducted based on any Output.


7. Your Content

"Your Content" means any data, files, prompts, documents, text, code, images, videos, records, databases, business information, customer information, or other materials you submit, upload, provide, connect, or make available to the Services.

As between you and Sharemeister, you retain ownership of Your Content.

You grant Sharemeister a limited, non-exclusive, worldwide license to access, use, process, transmit, store, copy, display, and modify Your Content as reasonably necessary to:

  • provide the Services;
  • operate, maintain, secure, and improve the Services;
  • process your requests;
  • provide support;
  • troubleshoot issues;
  • prevent fraud, abuse, or security incidents;
  • comply with law;
  • perform obligations under any agreement with you.

You represent and warrant that you have all rights, permissions, consents, and authority necessary to provide Your Content to Sharemeister and to allow Sharemeister to process it under these Terms.

You are solely responsible for Your Content and for ensuring that Your Content does not violate law, infringe third-party rights, violate privacy rights, contain unlawful material, or breach any agreement.


8. Customer Data, End Users, and Client Sites

If you use the Services to operate, support, develop, or integrate with your own website, application, platform, digital community, business system, or client-facing experience ("Client Site"), you are responsible for your Client Site and all users of that Client Site.

You are responsible for:

  • obtaining all required rights and consents from your users;
  • providing any legally required privacy notices;
  • maintaining your own terms, policies, and disclosures;
  • securing your systems and user data;
  • complying with all applicable laws;
  • ensuring that your users comply with these Terms where applicable;
  • backing up your own data unless otherwise agreed in writing.

Sharemeister is not responsible for your Client Site, your customer relationships, your user disputes, your business operations, or any legal obligations you owe to your own users or customers.


9. Sharemeister Platform, Software, and Intellectual Property

Sharemeister and its licensors own all rights, title, and interest in and to the Services, including all software, source code, object code, APIs, workflows, systems, architecture, modules, dashboards, templates, designs, user interface frameworks, documentation, trade names, trademarks, logos, processes, methods, know-how, inventions, and related intellectual property.

Subject to these Terms, Sharemeister grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes or as otherwise authorized in writing.

You do not acquire ownership of the Services or any Sharemeister intellectual property by using the Services.

You may not:

  • copy, modify, resell, sublicense, lease, or distribute the Services;
  • reverse engineer, decompile, or attempt to extract source code;
  • bypass access controls, usage limits, or security measures;
  • use the Services to build a competing product or service;
  • duplicate Sharemeister's platform architecture, workflows, UX/UI framework, modules, or service offerings for competitive purposes;
  • remove proprietary notices;
  • misrepresent your relationship with Sharemeister;
  • use Sharemeister's name, logo, or marks without written permission.

10. Development Services and Custom Work

Sharemeister may provide design, development, architecture, implementation, integration, deployment, technical support, maintenance, or consulting services.

Custom development work may be governed by a separate written Development Agreement, Statement of Work, proposal, invoice, or project agreement.

Unless otherwise agreed in writing:

  • Sharemeister retains ownership of its pre-existing technology, reusable code, frameworks, libraries, modules, workflows, templates, design systems, know-how, and platform architecture;
  • you retain ownership of Your Content and business-specific materials you provide;
  • Sharemeister may reuse generalized knowledge, tools, methods, frameworks, concepts, and non-client-specific components in other projects;
  • deliverables are provided subject to your payment of all applicable fees;
  • third-party tools, software, hosting platforms, AI providers, plugins, APIs, and licenses may be subject to separate terms.

If a project requires custom ownership, source code transfer, exclusivity, work-for-hire treatment, escrow, IP assignment, or special licensing terms, those terms must be stated in a signed written agreement.


11. Third-Party Services and Providers

The Services may connect to or rely on third-party services, software, hosting platforms, payment processors, AI providers, APIs, app stores, browsers, code editors, cloud providers, analytics tools, communication tools, databases, or integrations.

Third-party services may include, without limitation, providers such as AI model providers, cloud hosting providers, database providers, authentication providers, payment processors, email providers, analytics providers, and development tools.

Your use of third-party services is subject to their own terms, policies, fees, and privacy practices.

Sharemeister does not control and is not responsible for third-party services. We do not guarantee that third-party services will remain available, secure, accurate, compatible, or error-free.

We may change, replace, suspend, or remove integrations with third-party services at any time.


12. Acceptable Use

You may use the Services only in compliance with these Terms, applicable law, and any Acceptable Use Policy posted by Sharemeister.

You may not use the Services to:

  • violate any law, regulation, court order, or third-party right;
  • infringe intellectual property, privacy, publicity, or contractual rights;
  • upload unlawful, harmful, abusive, deceptive, defamatory, obscene, or discriminatory content;
  • generate, distribute, or facilitate malware, spyware, phishing, credential theft, spam, or unauthorized access;
  • interfere with, disrupt, overload, attack, scrape, crawl, or compromise the Services;
  • bypass security controls, rate limits, authentication, billing systems, or usage restrictions;
  • misrepresent identity, affiliation, source, or authority;
  • collect personal information without proper consent;
  • process sensitive data unlawfully;
  • use the Services for unlawful surveillance or unauthorized monitoring;
  • use Outputs as a substitute for professional legal, financial, tax, medical, or security advice;
  • use the Services to create or improve competing products, models, systems, or services without written permission;
  • resell, sublicense, or provide access to the Services except as expressly authorized;
  • use the Services in a way that harms Sharemeister, other users, third parties, or the integrity of the platform.

We may investigate suspected violations and may suspend, restrict, or terminate access to the Services if we believe these Terms have been violated.


13. Fees, Subscriptions, and Payment

Some Services may require payment.

You agree to pay all fees, charges, subscription amounts, usage fees, project fees, taxes, and other amounts associated with your use of paid Services.

Fees may be charged monthly, annually, by usage, by project, by milestone, by invoice, or as otherwise described in an applicable order, checkout page, proposal, or written agreement.

You authorize Sharemeister or our payment processor to charge your payment method for all applicable fees and taxes.

Unless otherwise stated in writing:

  • fees are due when charged or invoiced;
  • subscription fees renew automatically until canceled;
  • project fees are due according to the applicable invoice or agreement;
  • late payments may result in suspension of Services;
  • fees are non-refundable except where required by law or expressly agreed in writing.

We may change pricing, fees, or billing methods by providing notice or posting updated pricing. Price changes for active subscriptions will apply at the next renewal period unless otherwise stated.


14. Taxes

You are responsible for all taxes, duties, levies, sales taxes, use taxes, VAT, GST, withholding taxes, and similar governmental charges associated with your purchase or use of the Services, except for taxes based on Sharemeister's income.

If we are required to collect taxes, you agree to pay those taxes. If you are exempt from certain taxes, you must provide valid exemption documentation.


15. Confidentiality

In connection with the Services, either party may disclose non-public information that is identified as confidential or that reasonably should be understood to be confidential based on the nature of the information or circumstances of disclosure ("Confidential Information").

The receiving party agrees to:

  • use Confidential Information only for purposes of performing under these Terms or a related agreement;
  • protect Confidential Information using reasonable care;
  • not disclose Confidential Information to unauthorized third parties;
  • limit access to personnel, contractors, advisors, or service providers who need to know and are bound by confidentiality obligations.

Confidential Information does not include information that is publicly available, already known without restriction, independently developed without use of Confidential Information, or lawfully received from a third party.


16. Privacy and Data Protection

Our collection and use of personal information is described in our Privacy Policy.

You are responsible for determining whether the Services are appropriate for the personal information, confidential information, regulated data, or sensitive information you choose to submit.

Unless we expressly agree in writing, you should not submit highly sensitive regulated data to the Services, including protected health information, government identification numbers, financial account credentials, children's data, or other sensitive personal information requiring special legal protections.

If you use the Services to process personal data on behalf of others, you are responsible for obtaining all required consents, providing required notices, and complying with applicable privacy and data protection laws.

If required, the parties may enter into a separate Data Processing Agreement.


17. Security

Sharemeister uses reasonable administrative, technical, and organizational measures designed to protect the Services.

However, no system is completely secure. We do not guarantee that the Services will be free from unauthorized access, cyberattacks, outages, data loss, malware, or other security incidents.

You are responsible for:

  • securing your accounts, passwords, API keys, devices, and systems;
  • maintaining backups of your data;
  • configuring permissions properly;
  • reviewing integrations and third-party tools;
  • ensuring your users follow appropriate security practices.

You agree to notify us promptly if you discover a security vulnerability, unauthorized access, or suspected breach involving the Services.


18. Service Availability and Changes

We aim to provide reliable Services, but we do not guarantee uninterrupted availability.

The Services may be unavailable due to maintenance, updates, failures, third-party outages, security issues, force majeure events, or other causes.

We may add, remove, suspend, limit, or modify features at any time. We are not liable for any loss caused by downtime, modifications, suspensions, discontinuation, or loss of access, except as expressly stated in a separate written agreement.


19. Beta, Free, and Evaluation Services

We may offer free, beta, trial, preview, or evaluation Services.

These Services are provided "as is," may be limited, may contain errors, may change without notice, and may be discontinued at any time.

We are not obligated to provide support, maintenance, uptime, data retention, or continued access for beta, free, trial, preview, or evaluation Services.


20. Feedback and Suggestions

If you provide ideas, suggestions, feedback, improvements, recommendations, or other comments about the Services ("Feedback"), you grant Sharemeister a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that Feedback without restriction or compensation to you.

You are not required to provide Feedback.


21. Suspension and Termination

You may stop using the Services at any time. You may cancel your account or subscription according to the instructions provided through the Services or by contacting us at hello@sharemeister.ai.

We may suspend, restrict, or terminate your access to the Services immediately if:

  • you violate these Terms;
  • you fail to pay fees when due;
  • your use creates security, legal, technical, reputational, or business risk;
  • your account is suspected of fraud, abuse, or unauthorized access;
  • required by law, court order, or government request;
  • a third-party provider necessary for the Services becomes unavailable;
  • we discontinue the Services.

Upon termination, your right to access the Services ends. You remain responsible for all fees incurred before termination.

We may delete or disable access to Your Content after termination, subject to applicable law and any written agreement. You are responsible for exporting or backing up Your Content before termination.

Sections intended to survive termination will survive, including ownership, payment obligations, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms.


22. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREMEISTER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, COMPATIBILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES;
  • OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE;
  • DEFECTS WILL BE CORRECTED;
  • DATA WILL NOT BE LOST;
  • THIRD-PARTY SERVICES WILL REMAIN AVAILABLE;
  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR ACHIEVE YOUR DESIRED RESULTS.

YOU USE THE SERVICES AT YOUR OWN RISK.


23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREMEISTER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES, INCLUDING LOSS OF REVENUE, BUSINESS, GOODWILL, DATA, USE, OPPORTUNITY, OR EXPECTED SAVINGS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREMEISTER'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO SHAREMEISTER FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE CLAIM AROSE; OR
  2. ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY, WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE, EVEN IF SHAREMEISTER HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.


24. Indemnification

You agree to defend, indemnify, and hold harmless Sharemeister and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Services;
  • Your Content;
  • your Client Site;
  • your products, services, customers, or end users;
  • your violation of these Terms;
  • your violation of law;
  • your infringement or misappropriation of third-party rights;
  • your misuse of AI Outputs;
  • your breach of confidentiality, privacy, or security obligations;
  • disputes between you and your users, customers, vendors, employees, contractors, or third parties.

We may assume control of the defense of any matter subject to indemnification, and you agree to cooperate with us.


25. Export Controls and Sanctions

You agree to comply with all applicable export control, sanctions, import, re-export, and trade compliance laws.

You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or if you are listed on any restricted party list maintained by the U.S. government or other applicable authority.

You may not use the Services for prohibited end uses, including unlawful military, surveillance, weapons, or sanctions-evading activities.


26. Government Use

The Services are commercial computer software and commercial computer software documentation. If used by or on behalf of the U.S. Government, the Services are provided with only those rights granted to other users under these Terms, unless otherwise required by law or agreed in writing.


27. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Sharemeister will be governed by the laws of the State of Texas, without regard to conflict of law principles.

Before filing any claim, you agree to first contact Sharemeister at hello@sharemeister.ai and attempt to resolve the dispute informally.

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, except that either party may bring claims in small claims court if eligible, or seek injunctive or equitable relief in court for misuse of intellectual property, confidential information, unauthorized access, or security violations.

The arbitration will be conducted in Collin County, Texas, unless the parties agree otherwise.

You and Sharemeister waive any right to a jury trial and agree that disputes will be brought only on an individual basis, not as a class action, collective action, consolidated action, or representative action.

If arbitration is found unenforceable for a particular claim, that claim will be brought exclusively in the state or federal courts located in Collin County, Texas, and both parties consent to personal jurisdiction and venue in those courts.


28. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice by posting the updated Terms on our website, sending an email, displaying an in-product notice, or other reasonable means.

Updated Terms become effective when posted unless otherwise stated. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using the Services.


29. Notices

We may provide notices to you by email, through the Services, by posting on our website, or by other reasonable means.

You are responsible for keeping your account email address current.

30. Assignment

You may not assign or transfer these Terms without our prior written consent.

Sharemeister may assign these Terms without your consent in connection with a merger, acquisition, reorganization, sale of assets, change of control, affiliate transfer, or by operation of law.


31. Force Majeure

Sharemeister will not be liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, labor disputes, internet or telecommunications failures, cloud provider outages, cyberattacks, acts of war, terrorism, civil unrest, government action, pandemics, utility failures, or other force majeure events.


32. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be interpreted to most closely reflect the original intent, to the extent permitted by law.


33. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.


34. Entire Agreement

These Terms, together with any incorporated policies and any applicable written agreement between you and Sharemeister, form the entire agreement between you and Sharemeister regarding the Services.

These Terms supersede prior or contemporaneous understandings, communications, or agreements regarding the Services, except for signed written agreements that expressly state they control.
